These Terms of Service ("Terms") are a legal agreement between you and NextEraPro Ltd. ("WayGenie", "we", "us", "our"), a company registered in England and Wales. They govern your use of the WayGenie travel-planning service available at https://web.waygenie.app and the marketing site at https://waygenie.app (together, the "Service").
By creating a WayGenie account, paying for a plan, or using the Service in any other way, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Account": your registered user account on WayGenie.
- "Trip Content": anything you (or a collaborator on your trip) put into the Service, including destinations, dates, notes, expenses, photos, and AI-generated itinerary text saved into your trip.
- "Plan": the Free, Trip one-off, or Pro recurring tier you are using.
- "AUP": our Acceptable Use Policy, incorporated into these Terms by reference.
2. Eligibility
You must be at least 18 years old to create an Account.
3. Nature of the Service
WayGenie is an account-based travel-planning SaaS. Once you sign in you can:
- create trips with destinations, dates, and a daily itinerary;
- generate suggested itineraries and destination imagery using third-party AI;
- track expenses and budgets;
- invite collaborators by email;
- publish a public read-only share link for any trip;
- discover crowdsourced reviews and (if you choose to contribute) leave your own.
The Service is offered on three Plans:
- Free: limited active trips and limited AI generations.
- Trip: a one-off purchase that activates a single Trip-tier slot (currently 2 active trips, all Pro features).
- Pro: a recurring subscription billed monthly or annually with unlimited trips and all Pro features.
Plan limits and pricing on the date you purchase will be displayed in the in-app billing page and on the marketing pricing page.
WayGenie offers a planning Service only. We are not a travel agent, tour operator, or carrier; we only provide information and recommendations. All bookings made based on WayGenie itineraries are direct contracts between you and the relevant third-party provider.
4. Account Registration
You are responsible for keeping your sign-in credentials confidential and for everything that happens under your Account. If you suspect unauthorised use, change your password (or the linked Google/Apple account) immediately.
We use Clerk to handle authentication. Your sign-in metadata is governed by our Privacy Policy.
5. Plans, Billing, and Auto-Renewal
5.1 Free
The Free plan is provided at no cost. Features and limits may change with reasonable notice.
5.2 Trip (one-off)
The Trip plan is a single payment for a single trip slot. There is no auto-renewal. Activation is immediate on successful payment.
5.3 Pro (subscription)
Pro is billed in advance at the cadence you select (monthly or annual). Pro renews automatically at the end of each billing period until you cancel. You can cancel at any time from the in-app billing page; cancellation stops future renewals but does not refund the current period (see the Refund Policy).
If your card fails on renewal, we will retry per Stripe's standard dunning schedule. If we cannot collect after the retry window, your Account will be downgraded to Free until you provide a working payment method.
5.4 Taxes
Prices shown are inclusive of VAT where applicable. Stripe Tax determines and applies the correct VAT rate at checkout based on your billing country.
6. Cancellation and Refunds
The full refund and cancellation rules, including your 14-day statutory cancellation right under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, are set out in our standalone Refund & Cancellation Policy. They form part of these Terms by reference.
In summary:
- You can cancel a Pro subscription any time. Access continues to the end of the period you paid for. No pro-rata refund except as required by the 14-day statutory right (which you waive once AI generations are used).
- The Trip one-off plan is non-refundable once an AI itinerary has been generated against it. It is refundable within 14 days if no AI itinerary has been generated.
7. Service Availability
We do not offer a service-level agreement (SLA) on the Free, Trip, or Pro plans. We use reasonable efforts to keep the Service available and to restore it promptly if it goes down. Planned maintenance windows will be announced in-app where reasonably possible.
8. Intellectual Property and Your Content
8.1 Your Trip Content
To the extent permitted by law, we assign to you all our interest in any AI-generated text saved into your Trip Content, including any AI-generated itinerary text you save into your trip. You retain all rights in any photos you upload.
8.2 Licence to operate the Service
You grant WayGenie a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display, and back up your Trip Content solely as needed to provide the Service to you and to anyone you have authorised (collaborators, viewers of your public-share link). This licence ends when you delete the relevant Trip Content, except that copies held in routine back-up snapshots may persist for up to 30 days before being overwritten.
8.3 Public reviews
If you submit a review of a destination or activity shown in the public Discover section, you grant WayGenie a non-exclusive, worldwide, royalty-free, perpetual licence to display that review on the Service. You can request takedown of your own review at any time using the in-app controls or by emailing team@waygenie.app.
8.4 Our IP
The WayGenie name, logo, marketing site copy, software, and underlying design are owned by NextEraPro Ltd. Nothing in these Terms transfers ownership of any of that to you.
8.5 AI output
AI-generated text and images are produced by third-party providers (see our Privacy Policy). The output is yours to use as your Trip Content under section 8.1, subject to the AI Disclaimer.
9. Acceptable Use
In addition to anything spelled out in our Acceptable Use Policy (incorporated by reference), you agree not to:
- scrape or systematically extract data from the Service, including from public Discover pages or public trip share links;
- abuse the AI generation endpoints (e.g. using automation to consume credits beyond a normal human pace, or attempting to extract the underlying model);
- impersonate another person or misrepresent your affiliation with anyone;
- upload photos containing third-party personally identifiable information without that person's consent;
- review-bomb the crowdsourced reviews system (mass posting, coordinated brigading, fake reviews);
- use a public share link to expose another user's data without their consent;
- use the Service to plan or facilitate anything illegal under UK law or the law of your country of residence;
- attempt to reverse engineer the Service or break its security controls.
The Service is for personal, non-commercial use. We may suspend or terminate Accounts that breach this section. For serious or repeated breaches we may do so immediately and without refund.
10. Collaboration and Public Sharing
When you invite a collaborator to a trip, you grant them rights to view and (depending on the role you give them) edit that trip's content. You must obtain explicit consent before including any other person's personally identifiable information in a shared trip, and you must not include any Special Category Data (as defined by UK GDPR, including health, biometric, or religious data) relating to any third party.
When you make a trip public via a share link, anyone with the link can view the trip's contents until you revoke the link. Public trips are not indexed by us, but third parties may cache the contents, and we cannot guarantee removal from those caches.
We may remove publicly-shared trips that we reasonably believe breach the AUP, applicable law, or third-party rights. Where we do this we will notify you by email and, where reasonable, give you a chance to cure the breach.
11. Content Moderation and Takedown
If you believe a public trip, a public review, or any other piece of content on the Service is illegal, infringes your rights, or breaches the AUP, please email team@waygenie.app with the URL and a brief description.
We will investigate and act (remove, restrict, or refuse) within a reasonable time, notify the user who posted the content of any action taken, and offer that user an opportunity to respond by reply email.
12. AI Disclaimer
13. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, special, incidental, or consequential loss (including lost profits, lost data, or wasted travel cost) arising from your use of the Service.
- We are not liable for any loss arising from your reliance on third-party services recommended by the Service, including airlines, hotels, restaurants, or tour operators, whether or not those services were suggested by an AI-generated itinerary.
- Our total aggregate liability for any claim arising out of or related to the Service is limited to the greater of (a) £100 and (b) the total fees you have paid to us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited by law.
14. Indemnity
You will indemnify NextEraPro Ltd. against third-party claims to the extent caused by (a) your Trip Content (including third-party PII you uploaded without consent), (b) your breach of these Terms, or (c) your breach of applicable law.
15. Suspension and Termination
You can terminate at any time by deleting your Account in Settings > Account. Deletion is immediate, cascades through our database, Clerk, Stripe, and object storage, and is irreversible (subject to the statutory retention periods noted in our Privacy Policy).
We can terminate or suspend your Account on reasonable notice, or immediately for material breach (including AUP breach, non-payment, or a credible claim of illegality).
16. Changes to These Terms
We will post any updated version on this page and update the "Last updated" date. For material changes we will notify you by email and/or display an in-app banner at least 14 days before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept them, you may delete your Account before they take effect and you will not be charged again.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute.
Nothing in these Terms removes any statutory right you have as a consumer under UK or EU law, including your rights under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or the equivalent consumer law of your country of habitual residence.
If you are an EU consumer you may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.
18. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy, Cookie Policy, AUP, Refund Policy, and AI Disclaimer) constitute the entire agreement between you and us regarding the Service.
- Severability. If any clause is held unenforceable, the rest remains in force.
- No waiver. A delay in enforcing a right is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them as part of a corporate reorganisation or sale of the business, with reasonable notice to you.
- Language. These Terms are written in English. If they are translated into another language, the English version prevails in the event of any conflict.
